Introduction
The Inflation Reduction Act of 2022 (IRA) was a landmark piece of legislation designed to accelerate the United States’ transition to clean energy. A key innovation of the IRA was the introduction of transferable tax credits, which allows clean energy developers to sell federal tax credits to third parties. This was a significant shift from the prior system, which relied heavily on a small number of large financial institutions for clean energy financing. Transferable tax credits have proven to be a game-changer, fulfilling their promise by broadening the pool of investors and helping to streamline project financing. Since the Department of the Treasury's regulations were finalized, the market has expanded rapidly, with an estimated over $25 billion in tax credits transferred in 2024.
While the market's momentum is undeniable, the landscape has been reshaped by the One Big Beautiful Bill Act of 2025 (OBBBA), which introduced new complexities. The OBBBA phased down certain tax credits for wind and solar projects and imposed new Foreign Entity of Concern (FEOC) restrictions that will add a layer of complexity for projects coming online in 2026. Despite these changes, the tax credit transfer market is expected to remain robust. Many technologies, including battery storage, geothermal, and advanced manufacturing, will continue to benefit from strong tax credit support, and a significant pipeline of wind and solar projects remains eligible for future credits. The OBBBA did not restrict tax credit transfers, and we expect the market to continue its growth in 2025, with new buyers entering to manage their tax liabilities. The clean energy industry's resilience suggests that it will adapt and thrive in this evolving policy environment.

This guide is primarily focused on federal tax issues and is for informational purposes only. Version 4.0 and the OBBBA
This Comprehensive Guide is a shortened version of the Transferable Tax Credit Handbook Version 4, which was republished following the enactment of the OBBBA on July 4, 2025. We have updated the following content to incorporate relevant changes, though further guidance will continue to emerge.
Impacts on Tax Credit Transfers following the passing of the OBBBA include:
- Accelerated phase-down of tech-neutral (§45Y and §48E) tax credits for solar and wind
- Accelerated phase-down of advanced manufacturing production credits (§45X) credits for wind components
- Termination of the clean hydrogen production credit (§45V) for projects beginning construction after December 31, 2027
- Several tax credits were expanded or extended, including §40A credits for small agri-biodiesel producers, §45X credits for metallurgical coal producers, and §45Z credits for clean fuel producers
- Rates were adjusted for §45Z and §45Q credits for parity across types
- For §45X integrated components (where a primary eligible component is sold to an affiliate to produce a secondary eligible component), both need to be produced in the same factory and 65% of the direct material costs for the primary components must be US-made
- New FEOC restrictions for §48E, §45Y, §45X, §45U, §45Z, and §45Q credits
- Transferability is preserved, though tax credit purchasers cannot be prohibited foreign entities
- Elimination of the permanent 10% minimum ITC under §48
- Although not a transferable credit, the §25D credit for homeowners for solar, geothermal heat pumps, and batteries was eliminated for equipment placed in service after December 31, 2025
- Addition of a nuclear energy community adder to §45Y for facilities in communities that are, or previously were, employed to advance nuclear power
The OBBBA introduced several tax policies, notably bonus depreciation and R&E expensing, that will reduce the tax liability of many prospective tax credit buyers. This in turn will impact the volume of credits that these buyers can purchase. The major corporate tax changes include:
- 100% bonus depreciation: introduces option to claim 100% bonus depreciation for qualified property acquired after January 19, 2025. Bonus depreciation is also available for manufacturing and production facilities that meet certain criteria
- Full expensing of domestic research and experimental (R&E) expenditures: §174A allows full expensing of domestically sourced R&E expenditures for taxable years beginning after December 31, 2024. Foreign sourced expenditures must be capitalized and amortized over a 15-year period
- §163(j) business interest adjustment: restores the Earnings Before Interest, Taxes, Depreciation, and Amortization-based (EBITDA) calculation of adjusted taxable income for purposes of the 30% cap on business interest deduction for taxable years beginning after December 31, 2024
- Base erosion and anti-abuse tax (BEAT): increases BEAT rate from 10% to 10.5%, rather than to the previously scheduled 12.5% rate for taxable years beginning after December 31, 2025. Also allows add-back of general business credits under §38 for BEAT purposes, which had previously been scheduled to sunset
Overview
Under §6418 of the Internal Revenue Code (IRC) (first introduced in the IRA), “eligible taxpayers” are allowed to elect to transfer (i.e., sell) certain tax credits to unrelated taxpayers for cash.
What are transferable tax credits?
Transferability is meant to incentivize a broader pool of capital to invest in clean energy projects.
Eligible taxpayers can elect to transfer all or a portion of an eligible credit, and the tax credit buyer is treated as the taxpayer with respect to such credit (or such portion thereof). The buyer is allowed to claim the transferred tax credits on its tax returns, while also assuming some risk in the event of a recapture event or a challenge by the IRS on the qualification of the transferred tax credit.
Tax credits can be transferred for tax years starting after December 31, 2022. The cash payments are excluded from the tax credit seller’s gross income and are not deductible by the buyer. In addition, the buyer does not record any gross income or gain for federal tax purposes, even if the buyer has purchased the tax credit at a discount from face value.
Tax credits under the following U.S. tax code sections can be transferred: §30C, §40A, §45, §45Q, §45U, §45V, §45X,§45Y, §45Z, §48, §48C, and §48E.
Tax credits can be transferred for tax years starting after December 31, 2022. The tax credit buyer does not record any gross income or gain for federal tax purposes, even if the credits are purchased at a discount.
What are the benefits of transferable tax credits?
Tax credits have historically been the main way the U.S. federal government subsidizes clean energy projects, but this system had a major flaw: most project developers and manufacturers don't have enough tax liability to use the credits themselves. Before the Inflation Reduction Act (IRA), this led to complex, restrictive tax equity structures like the partnership flip, where a third-party investor would co-own a project to receive most of the tax benefits. This cumbersome process has been dominated by a few large financial institutions: two major banks have accounted for more than 50% of tax equity investment in recent years. The IRA introduced tax credit transferability, a simpler process that allows a clean energy developer to directly sell a tax credit to another company, opening the door for a wider range of investors to participate without needing to enter into a complicated, long-term partnership.
Simplified structure and lower transaction costs
Transferability offers a simpler and more cost-effective alternative to traditional tax equity structures. Rather than the complex, expensive process of negotiating and forming a partnership, which can incur significant legal and accounting fees per transaction, a clean energy developer can simply sell a credit to a buyer. The sale is formalized through a Tax Credit Transfer Agreement (TCTA) and completed by making a transfer election on the original tax return for the year the credit is earned, significantly streamlining the process for both parties.
Less ongoing management
For tax equity investors, who are often co-owners of a project, a typical deal requires extensive ongoing asset management and financial reporting. At minimum, the investor must monitor project performance, conduct complex GAAP accounting analysis, which may include consolidation/variable interest entity assessments and hypothetical liquidation at book value (HLBV) accounting, prepare or collect K-1 and other tax forms , and ensure receipt of timely payments (e.g., preferred payments in a partnership flip structure).
More favorable reporting
Traditional tax equity has complex GAAP accounting treatment, which can increase volatility of earnings reporting for publicly traded companies. The accounting complexity, as well as risk of tax equity’s impact on reported earnings, has made tax equity a non-starter for many publicly traded companies. In contrast, a transferred tax credit has a more straightforward accounting treatment.
Narrower set of risks, primarily related to disallowance or recapture of credit by the IRS
A tax equity investor is investing true equity into a project, meaning their returns may be impacted if a project has lower performance than what was underwritten – for instance, if a wind turbine doesn’t produce as much power as originally estimated. In a tax credit transfer, the buyer is not directly subject to asset performance risk; the primary risk is a disallowance or recapture of the tax credit by the IRS.

Technical credit considerations
Who can sell credits?
Eligible credits can be transferred by taxpayers – including individuals, C-corporations, trusts, estates, partnerships, and S-corporations – beginning on January 1, 2023.
Tax-exempt entities, including municipal and rural electric co-ops, state and local governments, and tribal entities, are not able to transfer credits but can use the elective pay election under §6417. See the Elective pay section for further details.
For property held by a partnership, the transfer is made at the partnership level. However, each partner may direct the partnership to sell its respective share of credits without affecting any other partner’s allocation of credits.
Who can buy credits?
The credit must be transferred to an unrelated taxpayer. Related parties are defined in the IRC under §267(b) and §707(b)(1). The credit can be transferred in whole or in part (e.g., credits from a single project can be sold to multiple buyers).
Partnerships may purchase credits from unrelated taxpayers. Such credits are allocated to its partners and treated as nondeductible expenditures and reduce each partner’s capital account and tax basis in its partnership interests.
Tax treatment
For the seller
The purchase price of the tax credits is not included in the gross income of the seller. If a partnership is the owner of the credit property, the tax credits are sold by the partnership, and the amount of cash consideration received by the seller is treated as tax exempt income. This tax-exempt income is allocated to the partners in the same proportionate manner that the original credit would have been allocated.
For the buyer
The purchase price of the tax credits is not deductible by the buyer, and buyers do not recognize gross income on the discount portion of the credit. For example, a buyer that purchases $100M of tax credits for $95M in cash is not subject to federal tax on the $5M reduction in taxes payable to the IRS.
Other restrictions
Cash only consideration
Buyers must purchase transferable credits with cash – U.S. dollars, check, cashier’s check, money order, wire transfer, ACH transfer, or other bank transfer of immediately available funds. A disguised consideration, such as a buyer receiving a discount on services from the seller from whom they are purchasing credits, could cause the transfer election to be disallowed.
Prohibition against resale
Credits may only be transferred once. Once a buyer has purchased tax credits, they cannot resell them. If a buyer is unable to fully utilize the tax credits they purchased in a given year, they can carry the unused credits back three years and forward for up to 22 years.
While a tax credit seller who is an S corporation is subject to the no additional transfer rule, an allocation of a transferred specified credit portion to a direct or indirect shareholder of an S corporation is not a transfer for purposes of §6418.
No progress expenditures
Investment credits that are realized as progress expenditures may not be transferred.
Lessees may not transfer credits
To the extent that a lessee claims a credit pursuant to a lease passthrough structure, the lessee may not subsequently transfer the credit. However, lessors in a sale-leaseback transaction may elect to transfer the credits to a third party.
At-risk rules
For §48 investment tax credit sellers that are individuals or closely held C-corporations (or partnerships or S-corporations whose partners or shareholders include such taxpayers) are subject to the at-risk rules of §49. The rules apply an at-risk calculation to determine the amount of tax credits that the taxpayer is allowed to realize, based on each partner’s or shareholder’s amount of nonqualified nonrecourse financing related to the credit property. To the extent that such at-risk rules apply, the amount of credit that a seller can claim and transfer may be limited.
Passive activity loss rules
Generally, individuals, estates, trusts, closely held C-corporations, and personal service corporations are subject to passive activity loss rules under §469. The passive activity loss rules require any taxpayers subject to such rules to only apply tax credits to passive income, and not active income, such as wage income, or portfolio income, such as capital gains or dividends.
There are, however, certain exceptions in place for closely held C-corporations as outlined in §469(e)(2)(A). Closely held C-corporations should consult with tax counsel on their ability to use tax credits to offset net active income.
Foreign entity of concern restrictions
The OBBBA introduced restrictions such that the benefits of the tax credits cannot be claimed by a “prohibited foreign entity” (PFE), as defined in §7701(a)(51), for many transferable tax credits starting in 2026. Therefore, neither the buyer nor the seller can qualify as a PFE. For more details on Foreign Entity of Concern download the full handbook.
Excessive credit transfers
If a credit transfer is deemed by the IRS to constitute an “excessive credit transfer,” the purchaser of the credit would be liable for an increase in tax by the amount of the excessive credit transfer plus a penalty of 20% of such amount. The penalty would not be applied to the extent the excessive credit transfer is due to “reasonable cause.”

Required minimum documentation
A statement or representation must be made in the transfer election statement that the tax credit seller has provided the “required minimum documentation” to the tax credit buyer. Required minimum documentation differs from the reasonable cause standard for excessive credit transfers.
The minimum documentation threshold is intended to establish a baseline of information necessary to validate an eligible taxpayer’s claim to an eligible credit. Tax credit buyers will often require additional documentation to substantiate the credit, and to gain comfort that they will be able to provide the necessary documentation in the event of an IRS challenge.
Required minimum documentation includes:
- Information that validates the existence of the eligible credit property, which could include evidence prepared by a third party (such as a county board or other governmental entity, a utility, or an insurance provider)
- If applicable, documentation substantiating that the eligible taxpayer has satisfied the requirements to include any bonus credit amounts (as defined in §1.6418–1(c)(3)) in the eligible credit that was part of the transferred specified credit portion
- Evidence of the eligible taxpayer’s qualifying costs in the case of a transfer of an eligible credit that is part of the investment credit or the amount of qualifying production activities and sales amounts, as relevant, in the case of a transfer of an eligible credit that is a production credit
Carrybacks and carryforwards
§39(a)(4) generally allows a three-year carryback period in the case of any applicable credit (as defined in §6417(b)). For a tax credit buyer, utilizing the three-year carryback period for applicable credits is not a straightforward process. If a clean energy project is placed in service in a new tax year, the resulting credits must first be applied to that year's tax liability. Any unused credits can then be carried back, but they must be applied to the earliest available tax year first (e.g., a 2024 credit would first apply to 2021, then 2022, then 2023).
This carryback process requires amending prior-year tax returns, which can increase the risk of an audit. Alternatively, taxpayers can carry unused credits forward for up to 22 years (effectively 20 years from the current tax year).
Buyers and sellers with different tax years
The year that a buyer recognizes transferable tax credits depends on both the buyer and seller tax year. Pursuant to §6418(d), “a [tax credit buyer] takes the transferred eligible credit into account in its first tax year ending with, or after, the eligible taxpayer’s tax year with respect to which the transferred eligible credit was determined.” Corporate taxpayers will face one of three scenarios when engaging tax credit sellers.
Buyer and seller both have a calendar year-end
For transactions in which both the buyer and seller have a 12/31 tax year-end date, the credits simply apply to the tax year in which they were generated.
Buyer's tax year ends before that of the seller
For a transaction in which the buyer tax year ends before that of the seller – for example, the buyer has a 9/30 tax year, and the seller has a 12/31 tax year – any credits generated in the same calendar year are pushed into the next tax year for the buyer.
Buyer's tax year ends after that of the seller
Lastly, for a transaction in which the seller's tax year ends before that of the buyer, credits generated prior to the end of the seller tax year will apply to the current calendar year, but credits generated after the end of the seller tax year will push into the next calendar year.
Most eligible corporate taxpayers are calendar-year filers
There are approximately 600 publicly traded companies in the U.S. with a trailing 12-month income tax liability over $100M. Of these companies, 78% are calendar-year filers, while another 8.0% close out their fiscal year in February or September.
If we increase the threshold to $500M of trailing 12-month income tax liability, the numbers remain consistent: 78.2% of companies are calendar-year filers.
The approximately 20% of corporations who are not December filers may be somewhat disadvantaged when sourcing credits. A tax credit buyer who has a September fiscal year end, for example, would effectively need to source credits placed in service in 2025 (assuming a seller with a calendar tax year) for their 2026 return. This timing disconnect presents timing of payments challenges for both the tax credit seller and the tax credit buyer.
Transfer mechanics
To effectuate a valid credit transfer, the buyer and seller must complete several key steps.
- Negotiate tax credit transfer agreement
- First, the buyer and seller should enter into a contractual agreement to transfer the credits. See the Tax credit transfer agreements section for a summary of typical negotiated terms. This agreement is a private agreement between the buyer and seller and is not a public document that would be filed with the IRS.
- Fulfill IRS pre-filing registration
- The seller of the credit needs to fulfill the pre-filing registration requirements with the IRS, which is done electronically through an IRS pre-filing registration tool, and receive a registration number for each eligible credit property.
- As part of this registration process, the seller will include information about the transferor taxpayer and the credit property, including addresses and coordinates, supporting documentation relating to the construction or acquisition of the credit property, beginning of construction date, and placed in service date. Such registration must be accompanied by a penalties of perjury statement, signed by a person with personal knowledge of the relevant facts and who is authorized to bind the registrant.
- How many pre-filing registration numbers?
- A tax credit seller can only submit one pre-filing registration for a given tax year. Therefore, they must apply for registration numbers for all their credits in a single filing.
- If a tax credit seller needs additional registration numbers for different facilities or properties, they must wait until the most recent pre-filing registration submission is processed by the IRS and returned.
- A tax credit seller will need one registration number per eligible credit property/facility.
- A registration number is only valid for a single tax year, so the tax credit seller will need to apply for new registration numbers each year for projects that generate credits in more than one year – §45 PTCs, for example.
- Complete relevant source credit forms and IRS Form 3800
- The tax credit seller must complete the relevant source credit form and IRS Form 3800, General Business Credit (or its successor). A schedule must also be attached to the Form 3800, showing the amount of eligible credit transferred for each eligible credit property.
- Below are links to available source credit forms for transferable tax credits; for example, Form 7207, Advanced Manufacturing Production Credit, is required if making a transfer election for a §45X credit:
- Execute transfer election statement
A transfer election statement is a written document that memorializes the transfer of a specified credit portion between a tax credit buyer and seller. The tax credit seller and tax credit buyer must each attach a transfer election statement to their respective return. There is not a specific form, but the document must be labeled as a “transfer election statement” and be signed under penalties of perjury by an individual with authority to legally bind the tax credit seller. The statement must also include the written consent of an individual with authority to legally bind the tax credit buyer.
As stated in §6418, information that must be in the transfer election statement includes:
- Name, address, and taxpayer identification number of the tax credit seller and the tax credit buyer.
- A statement that provides the necessary information and amounts to allow the tax credit buyer to take into account the specified credit portion with respect to the eligible credit property, including:
- A description of the eligible credit (for example, advanced manufacturing production credit for a §45X transfer election), the total amount of the credit determined with respect to the eligible credit property, and the amount of the specified credit portion
- The taxable year of the tax credit seller and the first taxable year in which the specified credit portion will be taken into account by the tax credit buyer
- The amount(s) of the cash consideration and date(s) on which paid by the tax credit buyer
- The registration number related to the eligible credit property
- Attestation that the tax credit seller (or any member of its consolidated group) is not related to the tax credit buyer (or any member of its consolidated group) within the meaning of §267(b) or 707(b)(1))
- A statement or representation from the tax credit seller that it has or will comply with all requirements of §6418, the §6418 regulations, and the provisions of the Code applicable to the eligible credit, including, for example, any requirements for bonus credit amounts described in §1.6418–1(c)(3) (if applicable)
- A statement or representation from the tax credit seller and the tax credit buyer acknowledging the notification of recapture requirements under §6418(g)(3) and the §6418 regulations (if applicable)
- A statement or representation from the tax credit seller that the tax credit seller has provided the required minimum documentation (as described in paragraph (b)(5)(iv) of this section) to the tax credit buyer
Beginning of construction
A project's beginning of construction (BoC) date is critical for clean energy tax credits, as it determines a project's eligibility for certain credits, exemption from prevailing wage and apprenticeship requirements, and exemption from Foreign Entity of Concern (FEOC) restrictions. Historically, a project could establish its BoC in one of two ways:
- Commencing physical work of a significant nature and then maintaining a Continuous Program of Construction. This physical work can be done on-site, like excavating for foundations, or off-site, such as manufacturing a custom-designed component like a transformer (provided it is under a binding written contract and not from a manufacturer's inventory).
- Satisfying the Five Percent Safe Harbor, where a taxpayer pays or incurs 5% or more of the total project cost and demonstrates Continuous Efforts toward completion.
Both methods require continuous progress, known as the Continuity Requirement. The IRS provides a Continuity Safe Harbor where this requirement is deemed satisfied if the project is placed in service within four calendar years following the calendar year construction began, though this window has been extended for certain historical projects.
Under the OBBBA, solar and wind projects are subject to an early phasedown of tax credits. Solar and wind projects must be placed in service before January 1, 2028 to qualify for §45Y and §48E credits, unless the projects started construction before July 5, 2026. This has spurred a surge of developers seeking to establish BoC by July 5, 2026.
In August of 2025, the Treasury released Notice 2025-42 which significantly alters the BoC rules for most solar and wind projects seeking tax credits under §45Y and §48E. The major changes to the BoC rules are as follows:
- Wind projects and solar projects with a maximum net output greater than 1.5 MW can no longer use the Five Percent Safe Harbor. They must establish BoC solely by performing physical work of a significant nature and maintaining a continuous program of construction.
- Notably, the new guidance changed the language from "starting" to "performing" physical work, though the Treasury did not define a clear monetary or percentage threshold for meeting this "significant nature" standard.
- This new guidance does not apply to projects that established BoC under the old rules before September 2, 2025, or to smaller solar projects (1.5 MW or less).
It is important to note that Notice 2025-42 only addresses tax credit qualification under §45Y and §48E, and guidance regarding FEOC restrictions is still pending.

Corporate alternative minimum tax (CAMT)
Created by the IRA, the corporate alternative minimum tax (CAMT) seeks to place a 15% “floor” under corporate taxpayers to raise revenues and require companies with lower effective tax rates to bring their rates up to a uniform level.
The legislative language behind CAMT is designed to require profitable corporations to pay at least some federal income tax, regardless of the deductions and credits they may claim under the regular tax system. The law also intends to reduce the gap between the book income and taxable income of corporations, which has been a source of public criticism and scrutiny.
CAMT applies to large corporations – other than an S-corporation, regulated investment company, or real estate investment trust – who report more than $1 billion in profits to shareholders on their financial statements. CAMT imposes a 15% minimum tax on the adjusted financial statement income (AFSI) of these corporations, which is their income before taxes as reported on their financial statements, with certain adjustments. AFSI diverges from taxable income, sometimes significantly; as a result, corporations with an effective tax rate that exceeds 15% may still be subject to CAMT liability.
One of the most important adjustments for the CAMT is the allowance of general business tax credits to reduce tax liability back below the 15% threshold. General business tax credits, which include §45 PTCs, §45X AMPCs and §48 ITCs, can be used to offset up to 75% of a corporation’s net income tax. In conclusion, corporations facing CAMT can purchase transferable tax credits to offset tax liabilities, even below the 15% minimum tax threshold imposed through CAMT.
OECD Pillar Two
Pillar Two applies to MNEs with annual revenues above €750 million. It is a “top-up tax,” which is levied when the MNE’s effective tax rate (ETR) falls below 15% in any jurisdiction that has adopted Pillar Two in which the MNE operates. The right to tax income can be levied through each of the following mechanisms, in order:
- Qualified domestic minimum top-up tax (QDMTT): The jurisdiction in which the undertaxed entity is located has the first right to collect the top-up tax. There is a strong incentive to collect taxes locally, otherwise taxes can be collected by other entities (see below)
- Income Inclusion Rule (IIR): If the source country does not impose a top-up tax, the home country of the parent company can collect the tax. For example, the German government can collect top-up tax on the German parent of a U.S. subsidiary, if the ETR of the U.S. entity fell below 15%
- Undertaxed Payments Rule (UTPR): If neither of the above two taxes apply, then countries in which other constituent entities (such as subsidiaries and branches) are located can collect the tax by denying deductions for those constituent entities. No countries have yet assessed the UTPR, and the OECD’s latest guidance delayed implementation of the UTPR until 2026 in many jurisdictions
OECD guidance from July 2023 clarified that IRA tax credits will receive the same favorable treatment as refundable tax credits, even though IRA tax credits were not explicitly designated as refundable credits. Tax credits are treated as non-marketable credits from the buyer’s perspective, and marketable credits from the seller’s perspective.
For the buyer, the numerator of the effective tax rate (ETR) calculation is only reduced by the discount amount of the credit. For example, if a buyer purchases $1 of tax credits for $0.95, then the numerator of the ETR calculation is reduced by only $0.05. This alleviated concerns that the purchase of IRA tax credits would have a more significant impact on the ETR calculation for purposes of Pillar Two taxation.
For the seller, the proceeds from the sale of tax credits are treated as additional income, rather than a reduction of taxes. For example, if a seller sells $1 of tax credits for $0.95, then the denominator of the ETR calculation is increased by $0.95. For the seller, this tax treatment holds whether or not the tax credits are sold to a third party.

Assuming Prevailing Wage and Apprenticeship requirements are met, the §48 and §48E ITCs are worth 30% of a project’s qualified basis. Otherwise, the credit is reduced to 6%.
Energy community
Projects that qualify for the energy community bonus receive:
- 2% of project’s qualified basis if PWA requirements are not met
- 10% of project’s qualified basis if PWA requirements are met
Assuming a project meets PWA requirements, for example, the energy community bonus results in an ITC value worth 40% of a project’s qualified basis.
Domestic content
Projects that qualify for the domestic content bonus receive:
- 2% of project’s qualified basis if PWA requirements are not met
- 10% of project’s qualified basis if PWA requirements are met
Assuming a project meets PWA requirements, for example, the domestic content bonus results in an ITC value worth 40% of a project’s qualified basis.
Low-income community
Projects that qualify for the low-income community bonus receive an additional 10% or 20% of the project’s qualified basis. The bonus is limited to projects of 5 MW or less and is an allocated credit, meaning tax credit sellers must apply for the bonus and receive an allocation.
Risks
Qualification
Buyers will need to ensure that tax credits qualify for the §48 or §48E ITC and will be respected in full by the IRS. Key areas of qualification include validation that the underlying project qualifies as energy property (as defined in §48) or a qualified facility or energy storage technology (as defined in §48E), the proper cost basis is used, the project was placed in service in the appropriate tax year, and that FEOC restrictions are considered (if applicable).
The IRS may challenge the cost basis of the energy property. If the cost basis is determined to be a lower amount, this will also reduce the ITC amount, resulting in an excessive credit transfer to the tax credit buyer.
Recapture
Investment tax credits under §48 and §48E are subject to the recapture provisions of §50, which states that, “if, during any taxable year, investment credit property is disposed of, or otherwise ceases to be investment credit property with respect to the taxpayer” then the credit will be recaptured. The ITC carries a five-year compliance period, in which the potential amount of credit that can be recaptured starts at 100% for the first year and steps down 20% per year.
Practically speaking, recapture can occur in the following scenarios:
- The property ceases to be a qualified energy facility
- There is a change in ownership of the property

Foreign entity of concern
For §48E tax credits, strict rules around FEOC were added in the OBBBA. There is also a ten-year recapture period for §48E investment tax credits if some of these rules are not adhered to accurately. For the avoidance of doubt, §48 tax credits are exempt from this provision.
Due diligence
§48 and §48E ITCs generally carry a larger discount compared to §45 or §45Y PTCs and §45X AMPCs because due diligence is more complex, and credits are subject to risk of §50 recapture. Buyers should ensure that the project qualifies as energy property (as defined in §48) or a qualified facility or energy storage technology (as defined in §48E), the proper cost basis is used, and the project was placed in service in the appropriate tax year. Buyers should also ensure that risk mitigants are in place to avoid common recapture scenarios.
In this section, we focus on due diligence related to qualification, structure, and recapture of §48 and §48E ITCs.
Qualification: cost basis and basis step-ups
The buyer first will need to confirm that tax credits are generated from qualified energy property, as defined in IRC §48, or a qualified facility or energy storage technology as defined in §48E.
Buyers will also need to review detailed documentation to substantiate the project’s cost basis. A cost segregation analysis from a reputed third-party accounting firm is typically used to validate the cost basis for energy property eligible for the ITC.
If a project has a step-up in the cost basis, the buyer will want to:
- Diligence the transaction that effectuates the step-up
- Analyze the stepped-up valuation (with specific focus on the amount of step up relative to the cost basis of the project prior to such step-up)
Transaction structure for basis step-up: In some transactions, a tax credit seller will seek to increase, or “step up,” the cost basis to a fair market value that exceeds the original cost basis. A stepped-up cost basis drives a larger tax credit amount, as the ITC is calculated as a percent of the project’s cost basis.
The most common structure is to sell the project company to a partnership, which is composed of the project sponsor and a third party that owns a certain percentage of the partnership. Many infrastructure oriented private equity funds and other investors have emerged with “preferred equity” vehicles that will serve as the third-party investor in a partnership.
Valuation for basis step-up: To substantiate a project's fair market value, a buyer should get an appraisal from a qualified third-party firm in addition to the customary cost segregation analysis. The buyer should also examine the structure used to effectuate the step-up.
Recapture: continuation as a qualified facility
The IRS may "recapture" (i.e., revoke) the tax credit if the project ceases to be a qualified energy facility within the first five years of operation. This can happen if the facility is destroyed, abandoned, or changes its business model (e.g., selling something other than electricity).
To mitigate this risk, buyers should ensure the project will remain operational. This includes confirming the project has:
- Sufficient property and casualty insurance.
- Adequate site control (i.e., the project can't be removed from the land).
- The necessary rights to connect to the electricity grid.
Additionally, the seller should demonstrate they have contingency plans, such as alternative buyers, in case the primary electricity offtaker defaults.
Recapture: no change in ownership
The IRS may recapture the credit if the project owner transfers ownership of the facility within the five-year period of the project being placed in service. To protect this risk, buyers should receive from the seller:
- Detailed information about the project’s ownership structure
- Confirmation that financing parties do not have collateral interests that could cause recapture in the event of a default.
Recapture: FEOC restrictions
Added in the OBBBA, the IRS may recapture §48E credits any time in the ten years after the qualified facility is placed in service if the taxpayer makes certain to a specified foreign entity. To protect against this risk, buyers will need to review the contracts related to the qualified facility, and require annual certificates from the seller noting that all parties are in compliance. Further guidance from the IRS regarding FEOC compliance and related recapture is expected by the end of 2026.
Placed-in-service date
The placed-in-service date determines the tax year to which the tax credit applies. If a project’s anticipated placed-in-service date was 2025, but it was later found that the project was placed in service in 2026, then the buyer must treat the credits as having been generated in the 2026 tax year. This is particularly important to diligence at the end of the seller’s tax year, when ambiguity around the exact placed-in-service date can result in tax credits slipping to the subsequent tax year.
To make a determination of when a project is placed in service, there is a five-factor test generally considered by the IRS and various courts. None of the five factors are controlling:
- The procurement of required licenses and permits
- The passage of control of the facility to the ultimate taxpayer
- The completion of critical tests
- The commencement of regular operations
- The synchronization of the facility into a power grid for generating electricity to produce income (if applicable)
§45 and §45Y PTCs
Eligibility and dates (§45)
Eligibility and dates (§45Y)
One important distinction between §45 and §45Y: in the case of §45 credits, the taxpayer must own the qualified facility and sell the electricity produced there to an unrelated person. For §45Y credits, the taxpayer must either (i) own the facility and sell the electricity produced there to an unrelated person; or (i) own the facility, (ii) equip the facility with a metering device that is owned and operated by an unrelated person and (iii) sell, consume or store the electricity. There is not a requirement to sell electricity to claim §45Y credits, as long as the metering device is owned and operated by an unrelated person.
Rates
The IRS updates §45 and §45Y PTC rates on an annual basis, generally in Q2. Rates are determined using an inflation adjustment factor (IAF) and published in the Federal Register. The inflation adjustment factor for 2025 is 1.9971.
The §45Y PTC has one base rate, irrespective of when a qualifying project is placed in service. The base rate is $3 per megawatt-hour (MWh) of qualifying electricity produced and sold. With PWA compliance (or exemption), the rate increases to $15 per MWh. There is also an annual, calendar year inflation adjustment for the rates, in which the rates are multiplied by the inflation adjustment factor described above and rounded. The $3 base rate is rounded to the nearest multiple of $0.50, and the $15 PWA rate is rounded to the nearest multiple of $1. As such, using the 2025 inflation adjustment factor of 1.9971, the 2025 base rate and PWA rate (after rounding) is $6 and $30 per MWh of qualifying electricity produced and sold, respectively.
The §45 PTC has two different rates depending on whether a project was placed in service before January 1, 2022, or not. For more information on these placed in service considerations, download the full handbook here.
Energy community
Projects that qualify for the energy community bonus receive a 10% PTC value increase if PWA requirements are met; as such (using 2025 rates), a $6 and $30 per MWh rate would increase to $6.60 and $33 per MWh, respectively.
Domestic content
Projects that qualify for the domestic content bonus receive a 10% PTC value increase if PWA requirements are met; as such (using 2025 rates), a $6 and $30 per MWh rate would increase to $6.60 and $33 per MWh, respectively.
Reduced PTC rates for wind facilities that began construction in certain years
The IRA restored the full PTC rate for wind facilities that were placed in service after December 31, 2021. Prior to the enactment of the law, wind facilities claiming the §45 PTC that were placed in service before January 1, 2022 were subject to reduced PTC rates under §45(b)(5), based on when construction began.

Risks
Qualification
Section 45 and 45Y Production Tax Credits (PTCs) are based on the amount of electricity a qualified facility generates and sells to an unrelated party (for §45Y, credits can also be generated even if electricity is not sold to a third party, so long the electricity is metered on a device that is owned and operated by a third party). A key advantage of PTCs is that the primary risk—accurate production accounting—is easily managed. To verify the credit, a tax credit buyer will review a production report from the facility's revenue-grade meter and a third-party confirmation of the electricity sale.
Unlike Investment Tax Credits (ITCs), PTCs are not subject to recapture risk. However, buyers should ensure the project has a placed-in-service date no more than 10 years prior. Projects that have been "repowered" (upgraded with new equipment) can qualify for a new 10-year PTC period, provided the fair market value of the used property does not exceed 20% of the total project value. Such transactions may require a third-party appraisal. PTCs from projects placed in service before 2023 can still be transferred if the credits were generated in a tax year beginning after December 31, 2022.
Foreign entity of concern
For §45Y PTCs, strict rules around FEOC are required for any taxpayer to claim the credit for projects beginning construction on or after January 1, 2026. For the avoidance of doubt, §45 tax credits are exempt from this provision.
Due diligence
The PTC is based on the amount of electricity the qualifying project produces and sells to a third-party once it is placed in service. Buyers should receive from the seller:
- Evidence that the project has been placed in service and has not been in operation for more than ten years
- If the project has been repowered or upgraded, evidence of the fair market value of the used equipment and the cost of the new equipment
- A production report from the project’s revenue-grade meter or other third-party substantiation (such as settlement statements from the grid operator)
- Confirmation of the electricity purchase by an unrelated third party
Buyers should also understand the circumstances under which the project may generate less electricity than anticipated – for example, curtailment – because that reduces the amount of PTCs generated.
§45X AMPCs
Eligibility and dates
Risks
Qualification
While §45X AMPCs are not subject to PWA requirements and do not carry the same recapture risks as §48 and §48E ITCs, they do carry additional qualification risks that are absent from other power generation-related tax credits such as the §45 and §45Y PTCs.
Components may be required to meet certain administrative or technological specifications to qualify as an eligible component that gives rise to a tax credit.
Foreign Entity of Concern
For §45X tax credits, strict rules around foreign entities of concern are required for any taxpayer to claim the credit for tax years beginning January 1, 2026.
Due diligence
To properly conduct due diligence for Section 45X tax credits, buyers should focus on six key areas:
- Credit amount and qualification: Verify the tax credit calculation, and that eligible components were produced in 2023 or later and meet the specific design and capacity requirements outlined in §45X. The credit is claimed in the year the sale is completed.
- Taxpayer as producer: Ensure the credit is claimed by the taxpayer who performed the "substantial transformation" of the component, not "mere assembly." In a contract manufacturing arrangement, a written agreement determines who claims the credit.
- Domestic production: Confirm that the eligible components were produced in the U.S. or its territories. While the final product must be made domestically, the raw materials and sub-components do not. Due diligence can include reviewing facility ownership or conducting a site visit.
- No §48C credits: If a facility has claimed a §48C investment tax credit, it can only qualify for §45X credits if the assembly lines for each are separate.
- Third-party sale: The credit is only generated when the component is sold to a third party. This can be verified by reviewing sales contracts and documentation. An exception exists for "integrated components" sold between affiliates, which may still qualify if certain domestic production and cost requirements are met and the final product is sold to an unrelated party.

Relationship to the §48C qualifying advanced energy project credit
Certain advanced manufacturers may elect the §45X AMPC or the §48C qualifying advanced energy project credit, though they cannot claim the §45X credit for products manufactured at a facility for which they claimed a §48C credit. There are instances, however, when vertically integrated manufacturers may qualify for both credits. For example, if a company manufactures a component from equipment for which it claimed a §48C credit and then uses that component to produce §45X components using other equipment, the company may be eligible to claim both credits.
Due diligence considerations for all common credits
When a buyer purchases various clean energy tax credits (such as §48, §48E, §45, §45Y, and §45X), several due diligence considerations are shared across all of them. These include:
- Corporate Structure: Buyers must understand the seller's corporate structure, including any disregarded entities, to ensure a valid chain of title for the tax credits. This involves reviewing corporate documents like articles of organization, by-laws, and lien searches.
- Financial Strength: Buyers should assess the seller's financial stability, as it determines the value of their indemnification for any tax credit recapture or disallowance. A seller with a strong balance sheet is more likely to fulfill their obligation to compensate the buyer if the credit is lost.
- Pre-filing Registration: Buyers should review the seller's IRS pre-filing registration documentation. While a transaction can close before the registration number is issued, it is a crucial component of the final tax return filing. Without the number by the filing date, the tax credit transfer may be invalidated.
Bonus credits
Introduction
The IRA created three bonus credits, or “adders,” for which projects can qualify:
- Energy community bonus
- Domestic content bonus
- Low-income community bonus
Each bonus has specific eligibility requirements that a project must meet. Tax credit buyers will bear some additional risk when assuming these bonus credits, as qualification for these adders is subject to IRS scrutiny and audit.
Bonus credits are not treated differently from base credits for the purpose of transferability. Treasury guidance released in June 2023 specified that all transferable credits must be sold as “vertical slices” and be pari passu to one another, as opposed to “horizontally” bifurcating bonus credits from base credits.
Energy Community Bonus Credit
Eligibility
To qualify for the energy community bonus as a project claiming investment and production tax credits under the §45, §45Y, §48, and §48E, a project must be in at least one of three energy community types:
- Brownfield
- Statistical area
- Coal closure
If a clean energy project is in two energy communities – a brownfield site within a coal closure, for instance – the bonus remains 10%.
The OBBBA adds an energy community bonus for §45Y nuclear facilities that are located in metropolitan statistical areas that are, or have previously been, nuclear communities (see Nuclear facility section below).
Timing
For §48 and §48E ITCs, eligibility for the energy community bonus is determined on the placed-in-service date and not retested. For §45 and §45Y PTCs (including repowers), eligibility must be determined each year during the ten-year credit period, with a facility treated as located in an energy community if it qualifies at any time during the year. If construction begins after December 31, 2022 in a location that is an energy community on that date, the location will continue to qualify for the full PTC period (§45, §45Y) or on the placed-in-service date (§48, §48E). Projects generating §45 PTCs placed in service before December 31, 2022 are not eligible, even if located in an energy community, as that date is set in the IRA (H.R.5376).
Nameplate capacity test
A project qualifies for the energy community bonus if at least half (50%) of its nameplate capacity is in an energy community.
Footprint test
If a clean energy facility does not have a nameplate capacity, it can qualify for the energy community bonus under the “footprint test.” If 50% or more of the project’s square footage is located in an energy community, then the project qualifies for the bonus.
Brownfield
A brownfield site as defined in certain subparagraphs of the Comprehensive Environmental Response, Compensation, and Liability Act of 1980 (CERCLA): “…real property, the expansion, redevelopment, or reuse of which may be complicated by the presence or potential presence of a hazardous substance, pollutant, or contaminant."
Three types of sites qualify as a brownfield under a safe harbor:
- Existing brownfield: Brownfields that are already tracked by a federal, state, territorial, or federally recognized Indian tribal brownfields program.
- Phase II assessment: A Phase II Assessment has been completed with respect to the site and such Phase II Assessment confirms the presence on the site of a hazardous substance.
- Phase 1 assessment (for projects with a nameplate capacity of not greater than 5 MWac): A Phase I Assessment has been completed with respect to the site and such Phase I Assessment identifies the presence or potential presence on the site of a hazardous substance, or a pollutant or contaminant.
Statistical area
A "metropolitan statistical area" (MSA) or "non-metropolitan statistical area" (non-MSA) that has (or had at any time after 2009):
- 0.17% or greater direct employment or 25% or greater local tax revenues related to the extraction, processing, transport, or storage of coal, oil, or natural gas; and
- An unemployment rate or above the national average unemployment rate for the previous year
Coal closure
A census tract (or directly adjoining census tract):
- In which a coal mine has closed after 1999; or
- In which a coal-fired electric generating unit has been retired after 2009
Nuclear facility
As added in the OBBBA, a new 10% energy community bonus is available for advanced nuclear facilities, or any nuclear facility that the Nuclear Regulatory Commission (NRC) has authorized to construct and issued a site-specific construction permit or combined license, claiming §45Y tax credits that are situated in a metropolitan statistical area where at least 0.17% of the community is (or has been at some time since December 31, 2009) employed directly by the advancement of nuclear activity.
Due diligence considerations
The energy community bonus is relatively straightforward to substantiate (other than qualification as a brownfield which can be more subjective). A developer should provide documentation that crosswalks their project’s location with at least one of the three energy community categories.
For §48 and §48E ITCs, eligibility for the energy community bonus credit is determined on the date that the project is placed in service. For §45 and §45Y PTCs, eligibility for the energy community bonus credit must be determined every year during the ten-year PTC period, although the IRS created a safe harbor for projects with beginning of construction dates on or after January 1, 2023. Specifically, for any ITC or PTC credit, if the project is in an energy community as of the beginning of construction date, then, with respect to that project, the location will continue to be considered an energy community for the duration of the credit period.
Nameplate capacity attribution rule
An IRS notice, Notice 2024-30, expanded the "nameplate capacity attribution rule" to make it easier for offshore wind projects to qualify for the energy community bonus credit.
The rule, which previously allowed offshore projects to qualify if their power-conditioning equipment was located in an energy community, has been broadened. Now, supervisory control and data acquisition (SCADA) equipment can also be used to qualify for the bonus.

Domestic Content Bonus Credit
Eligibility
To incentivize the development of domestic clean energy production and manufacturing, the IRA includes a domestic content bonus. The domestic content adder is applicable to the §45, §45Y, §48, and §48E credits.
To qualify, a project must meet two overarching requirements:
- Steel and iron: 100% of all structural steel or iron products used must be produced in the U.S.
- Manufactured products: A minimum percentage of the total costs of manufactured products (including components) must be mined, produced, or manufactured in the U.S. Direct labor costs of incorporating a manufactured product into a project, such as installation costs, are not applicable
The minimum percentage of manufactured products is dependent on when the project begins construction, as amended in the OBBBA and effective on or after June 16, 2025:
- Before June 16, 2025: 40%
- June 16, 2025 – December 31, 2025: 45%
- January 1, 2026 – December 31, 2026: 50%
- After December 31, 2026: 55%
Safe harbor
To minimize the complexities associated with collecting and validating cost data from manufacturers, the IRS created a “new elective safe harbor” in IRS Notice 2024-41 for purposes of calculating the domestic content percentage. The new elective safe harbor allows developers to elect to determine their project’s domestic content percentage by aggregating fixed, IRS-determined percentages from an “exclusive and exhaustive” list of manufactured components and subcomponents instead of relying on the manufacturer to disclose their actual direct costs. IRS Notice 2025-08 modified Notice 2024-41 to adjust the percentages in the “First Updated Elective Safe Harbor.”
No partial reliance on safe harbor
If a developer chooses to use the elective safe harbor, they must do so for the entire project.
Elective safe harbor certification
If a developer uses the elective safe harbor to qualify for the domestic content bonus, they must submit a certification to the IRS alongside Form 8835 (for PTCs) or Form 3468 (for ITCs) in the first taxable year in which they report a domestic content credit amount for their project, including the:
- Project type
- Tax credit
- Placed-in-service date
- Location/coordinates
- Total amount of bonus credit claimed
Substantiation
Developers who claim the domestic content bonus credit must meet general recordkeeping requirements under §6001.
Due diligence considerations
Prior to the elective cost safe harbor, application of the domestic content bonus credit was minimal. With the elective safe harbor, domestic content due diligence becomes simpler (though the adder will likely remain the most complex of the three to diligence). Buyers will want to validate the developer’s safe harbor calculations, collect documentation confirming the sourcing of components and sub-components included in the calculations, and view the developer’s safe harbor certification. In many cases, a legal memorandum may be prepared by seller counsel to analyze and confirm compliance with domestic content requirements.

Low-income community
Eligibility
The low-income bonus is designed to incentivize wind, solar, and associated energy storage investments in low-income communities, on Indian land, as part of affordable housing developments, and benefitting low-income households.
The low-income bonus is an allocated and capped credit, and 2025 capacity limitations are presented in Notice 2025-11. Projects in low-income communities or on Indian land receive a 10% bonus credit value, while projects on Qualified Low-Income Residential Building Project or as part of a Qualified Low-Income Economic Benefit Project receive a 20% bonus credit value. All low-income projects must be less than 5 MWac in size.
Beginning in 2025, the low-income community bonus credit is available under §48E(h).
Allocations
The DOE maintains a low-income communities program capacity dashboard, which displays the available capacity for each category.
How to apply
Since the low-income bonus is an allocated bonus, developers must apply for and receive an allocation from the IRS. The IRS makes it clear that a developer “may receive an allocation less than its [applied for] nameplate capacity.” The allocation, not the project’s capacity, determines the credit value.
If any category or sub-category is oversubscribed during the initial 30-day period, the IRS will make awards based on a randomized lottery. Following the initial 30-day period, any leftover capacity will be awarded on a first-come, first-served basis. Applicants may only submit one application per facility, per program year.
The IRS will make allocations with certain ownership and location priorities in mind:
- Ownership: Priority will be given to (1) projects owned directly or indirectly by Indian tribes; (2) consumer or purchasing cooperatives with controlling members who are workers or from low-income households; (3) tax-exempt charities and religious organizations; and (4) state and local governments, and U.S. territories, Indian tribes, and rural electrical cooperatives
- Location: Priority will be given to (1) persistent poverty counties, where 20% of residents have experienced high rates of poverty of the last 30 years; and (2) and census tracts designated as “disadvantaged” in the Climate and Economic Justice Screening Tool (CEJST)
Restrictions
Once a developer has an allocation, they have four years to place the project in service and cannot change its location; extensions are not permitted, and a project cannot be placed in service before receiving an allocation. After a project is placed in service – but before filing tax forms – the tax credit seller must update their DOE application with supporting documentation (scope depends on allocation category), attest that there have been no material ownership or application changes, and submit for review. The IRS will then determine if the facility retains its allocation or is disqualified; if eligible, the owner is notified. If nameplate capacity exceeds the allocated capacity (but is under 5 MWac), the percentage increase is reduced by a factor of allocated capacity divided by the installed capacity. If capacity is lower (but within the greater of 2 kW or 25%), the award is maintained; larger reductions result in disqualification.
Disqualification
A facility may become disqualified and lose its allocation if, prior to being placed in service, one or more of the conditions defined in 26 CFR § 1.48(e)‑1(m) occur.
Successor-in-interest changes
Developers may apply to transfer an allocation of environmental justice solar and wind capacity when there is a sale or transfer of an underlying facility. If the original allocation was based, in part, on meeting certain ownership criteria, a change in ownership can result in disqualification.
A tax credit seller may only apply for an allocation transfer when all three of the following conditions are valid:
- A sale or transfer of a facility from one taxpayer to another has taxpayer occurred
- The original owner has already applied for and been awarded an allocation for the applicable project
- The original owner has not already placed the project in service
Due diligence considerations
To qualify for the bonus, a developer must have an allocation award letter as well as confirmation that the project was placed in service within a statutorily set four-year period. To validate that the project was properly placed in service, the developer must provide documentation and make attestations in the DOE low-income community application portal.

Pricing and cashflow timing
Transferable tax credits are priced at a discount to face value ($1.00) to incentivize the buyer to purchase credits.
Most tax credit buyers are sensitive to incurring “above the line” expenses, and will typically expect the seller to pay for the following transaction-related costs:
- Intermediary fee: In many transactions, an intermediary arranges the transaction. Certain intermediaries such as Reunion also provide due diligence and transactional support
- Tax credit insurance: For transactions in which the seller cannot provide a sufficiently strong indemnification, buyers may require tax credit insurance. The price of insurance varies and has risen in the past year, but typically costs three to five cents per $1.00 of tax credit
- Legal and/or third-party due diligence fee: Tax credit buyers often will retain third-party legal counsel and, in certain cases, will retain an accounting or advisory firm to perform additional due diligence. Buyers almost universally request a capped level of reimbursement from the seller for all or a portion of these professional services expenses. The agreed amount of reimbursement is a key commercial term subject to negotiation.
Pricing with tax credit buyers is typically discussed as the gross or all-in price, and the price that the seller ultimately receives is sometimes referred to as the net price.

Key pricing factors
Through 2024 and into 2025, Reunion has observed credits trading in relatively narrow pricing bands by credit and counterparty. Several factors drive both the pricing bands, and where pricing falls within a given price band:
Risk and complexity
The more risk a project carries, the higher the discount. Some examples:
- ITCs tend to be more complex than PTCs due to cost basis risk and recapture risk, and therefore tend to trade at a larger discount
- Projects that lack strong risk mitigation measures such as a strong indemnity or tax credit insurance trade at a larger discount
- Long-standing technologies such as wind, solar, and battery storage have the largest pool of buyers and tend to carry smaller discounts compared to less mature technologies
Project size
Smaller tax credit amounts – for example, below $5 or $10M – may offer a larger discount to face value due to the need for the buyer to achieve sufficient savings.
Economies of scale
Smaller projects have higher transaction and due diligence costs as a percentage of project size. Larger projects often trade at a smaller discount, given demand from buyers that want to buy a large volume of credits from one seller.
Forward and multi-year commitments
Most tax credit buyers are looking to buy credits for the current tax year. Buyers that are willing to commit to credits for the subsequent tax year, or that are willing to commit to multi-year streams of credits can often get a larger discount.

Premiums for efficient transactions
Speed of transaction execution is also a key factor in pricing. Buyers that provide a strong early offer to a seller (or that happen to catch a seller when they are up against a tight deadline to sell credits) may be able to circumvent a competitive process and get advantageous pricing as a result.
Cashflow timing
Among corporate taxpayers, Reunion has generally seen tax credit buyers in one of two camps:
- Maximize the dollar amount of tax savings
- Minimize risk and complexity by optimize timing of payment to avoid “out of pocket” investment compared to what buyer would have paid the IRS
The first group tends to focus on §48 ITCs. The second group generally focuses on §45 PTCs and §45X AMPCs, which do not carry risk of §50 recapture and can be purchased quarterly in arrears (typically structured such that the buyer pays concurrently or shortly after each quarterly estimated tax payment date, based on credits generated to date).
ITCs can also be structured to minimize the impact on cashflows, which we discuss below; for example, portfolios of ITCs can be paid for quarterly in arrears.
Corporate taxpayers can offset their quarterly estimated tax payments using tax credits they intend to purchase.
Maximizing the dollar amount of tax savings
Buyers who are primarily interested in maximizing the dollar amount of tax savings associated with a tax credit purchase focus on the level of discount, rather than on timing of payment, or complexity of transaction.
Generally, these buyers find ITCs most appealing. As noted in the Latest tax credit pricing section, buyers can achieve a relatively larger discount on ITCs by paying in full earlier in the year, making forward commitments for future tax years, and pursuing more complex or riskier transactions with fewer competing buyers.
Optimizing timing of payment to avoid “out of pocket” investment
Treasury’s final regulations made clear that corporate taxpayers can offset their quarterly estimated tax payments using tax credits they intend to purchase, opening the door for tax credit buyers to realize most or all the benefit of a tax credit prior to paying the tax credit seller.
We have identified four primary scenarios in which buyers can realize tax benefits prior to cash outlay.
Purchase §45 PTCs or §45X AMPCs and pay quarterly in arrears
Production-based credits like §45 PTCs and §45X AMPCs are usually paid quarterly in arrears, meaning the buyer pays for the credits after they are generated. For example, a buyer committing to $100M in credits can offset their tax liability by $25M per quarter. They then pay the seller a discounted amount (e.g., $23.75M) at the end of each quarter, allowing them to benefit from the tax reduction before paying the seller. This structure creates a positive cash flow with no upfront cost.
Purchase a §48 ITC portfolio and pay quarterly in arrears
A portfolio of investment tax credits can also be paid quarterly in arrears. This structure is common with portfolios of residential or small commercial solar projects. A buyer can reduce their estimated quarterly tax payments based on the total committed amount (e.g., $25M per quarter for a $100M portfolio). Meanwhile, they only pay the seller for the credits that are actually generated each quarter. Since credit generation may be uneven throughout the year, this can result in the buyer reducing their tax payments by a larger amount than they are paying out in the early quarters, creating a strong cash flow benefit.
Commit to a §48 ITC purchase early in the year, but pay late in the year
A buyer can commit to purchasing investment tax credits (ITCs) early in the year, but delay the payment until the project is placed in service (often late in the year). This allows the buyer to use the credit to offset quarterly estimated tax payments before any cash is disbursed to the seller. This structure provides significant cash flow flexibility, although it carries the risk that the project may not be placed in service in the anticipated tax year, requiring the buyer to find replacement credits. Buyers can mitigate this risk by negotiating liquidated damages with the seller.
Buy tax credits to “top up” at the end of the year, resulting in a lower Q4 or final tax payment
A buyer can wait until the end of the year, when they have a clearer picture of their tax liability, to purchase credits. By acquiring credits to match their remaining tax due in the final quarter, they can fully offset their remaining tax payment. This allows them to manage cash flow by making a single, discounted payment to the seller instead of a full payment to the IRS. This strategy can also be used to offset remaining tax liability at the final tax filing date.

Tax credit transfer agreements
General Structure of Tax Credit Transfer Agreements (TCTA)
A tax credit transfer agreement (TCTA) can be structured in two ways, principally depending on whether tax credits have already been generated.
For transactions in which a project has already generated tax credits and all closing conditions precedent will be achieved upon signing, a TCTA should be structured for a simultaneous sign and close.
For transactions in which transferable tax credits will be generated in the future or where credits have been generated but have conditions that have not yet been fulfilled – for instance, a cost segregation is outstanding – the TCTA can be structured for sign and subsequent close. In either case, a sign and subsequent close ensures that the buyer, seller, and project meet certain conditions before closing.
Commercial terms
Pricing is the obvious commercial term that the transacting parties must negotiate. Price is typically reflected as a price per $1.00 of tax credit. However, there are other commercial terms that need to be considered – ideally, early in the negotiation process – and reflected in the TCTA, including:
- Maximum credits acquired: A buyer will often put a cap on the amount of credits it acquires (typically annual caps, but occasionally quarterly caps as well)
- Percent of credits acquired: If there is more than one purchaser of credits from a specific project, the TCTA may specify the pro-rata amount of credits allocated to a particular buyer
- Different pricing for different credit years: To the extent a buyer is acquiring credits from multiple credit years, or there is uncertainty as to the tax year in which a credit may be generated, the parties may negotiate pricing specific to each credit year.
- Payment terms: To the extent that a buyer desires to pay the seller in a manner that is not immediately after all closing conditions have been met, the TCTA should specify these payment terms.
- Transaction costs: Often, buyers will include a provision for sellers to pay for a buyer’s third-party transactional costs; capped at a negotiated amount.
Representations and warranties
At a basic level, the seller will represent that it owns the credit property, the credit project is qualified to generate transferable tax credits, they are eligible to claim and transfer the credits from the credit property, and such tax credits have not been previously sold, carried back or carried forward.
The seller will also need to make representations around the project itself – for instance, that the project has been placed in service as of the closing date (for §48 ITCs); that the electricity was generated and sold to a third party (for §45 PTCs); whether the project qualifies for any bonus credit adders; and whether the project has complied with or is exempt from prevailing wage and apprenticeship requirements.
There are also customary and non-controversial representations that both parties typically make, including around legal organization, due authorization, enforceability, no litigation, and no material adverse effect.
Closing conditions precedent
Both the buyer and seller will need to meet conditions precedent (CPs) that are required to obligate the other party to close on the transaction, although most CPs in TCTAs are obligations of the seller.
The closing conditions validate that the credits have been generated and can be transferred as contractually envisioned; furthermore, they stipulate the specific deliverables that the buyer and seller must furnish prior to closing. Some common CPs include the following:
- Restatement of representations and warranties
- Evidence that the project has been placed in service
- Completion of a pre-filing registration with the IRS along with a transfer election statement
- Procurement of tax credit insurance (if agreed to by the parties)
- Evidence that the project has complied with PWA and bonus credit requirements.
- For §48 ITCs, provision due diligence reports, including a cost segregation analysis and appraisal by agreed upon consultants.
- For §45 PTCs, evidence that the electricity has been generated and sold to a third party.
- No changes of tax law
The buyer, importantly, is confirming within the closing conditions that they have conducted a thorough due diligence process. Demonstration of a thorough due diligence process can help buyers avoid a 20% “excessive credit” penalty from the IRS in the event of a disallowance.
The IRS transferability guidance includes a “reasonable cause” provision that can absolve buyers of the 20% penalty (but not their pro-rata share of the excessive credit itself). The most important factor to establish reasonable cause is “the extent of the [tax credit buyer’s] efforts to determine” that the credit transferred was appropriate.
Covenants
Pre-closing covenants
Pre-closing covenants govern the conduct of the parties between signing and closing. Pre-closing covenants are generally non-controversial, representing best practices to ensure that the seller does not do anything to impair the value of the credits and continues to advance the project in a commercially reasonable way.
Post-closing covenants
In tax credit transfer agreements, post-closing covenants outline the legal obligations between the buyer and seller after the transaction is complete.
These covenants ensure that both parties properly report the tax credit transfer on their tax returns by filing the required transfer statement and registration numbers.
For §48 Investment Tax Credits (ITCs), these covenants also address recapture risk. The seller agrees to avoid actions that could trigger recapture and to notify the buyer if a recapture event occurs. They also commit to meeting prevailing wage and apprenticeship requirements for any subsequent project alterations during the recapture period.
In any tax credit transaction, whether a tax equity transaction or a tax credit transfer, the risk of loss often manifests itself in the form of an IRS audit. In the event of an audit, the tax contest language in the TCTA defines how the risk is shared and is often one of the most contested terms in the negotiation process. While the buyer typically controls any proceedings, the seller has a right to be informed and may participate, often with a contractual right to consent before the buyer can settle with the IRS. This arrangement provides the seller, who may be indemnifying the buyer for losses, with visibility into the audit process.
Indemnification
An important risk mitigant is for the seller to indemnify the buyer against losses it may incur because of credit recapture or disallowance.
Tax credit seller indemnification is typically broad, covering the buyer’s loss, reduction, recapture, or disallowance of any transferred credit as well as any interest and penalties (including any excess credit transfer penalties) payable to the IRS.
The value of this indemnification depends on the seller’s creditworthiness and financial condition, including existing indemnification obligations. To address this risk, buyers may require:
- A parent guarantee to backstop the seller’s obligations.
- Tax credit insurance
In cases where tax credit insurance is procured, the indemnity is typically structured so tax credit insurance will pay out first, and the seller’s indemnity will make the buyer whole in case the tax credit insurance does not sufficiently cover the buyer’s loss.
Guarantor
The transferor of a tax credit is the first regarded entity that owns the project generating the credit, potentially a LLC project company, which is in turn owned by a partnership (the seller of the tax credits).
Given that the tax credit seller may be a company of limited financial wherewithal, a guarantor is needed to backstop the indemnity obligations of the seller. The guarantor is typically the parent company of the developer. To evaluate the creditworthiness of the guarantor, a buyer will want financial statements – preferably audited – of the guarantor. A buyer should undertake a credit analysis to understand the likelihood of repayment by the guarantor, should a recapture or disallowance condition occur.
Tax credit insurance
Buyers may also require tax credit insurance to ensure that they are protected in the event of an IRS recapture or disallowance of credits, and the seller does not adequately compensate the buyer. Cost is typically $0.03 to $0.05 per $1.00 of tax credit, an increase from the $0.02 to $0.03 price range we saw in 2024 and early 2025.
Tax credit insurance is readily available. A pool of investment-grade insurance carriers has long insured qualification, recapture, and structure risks for tax equity financings. However, tax credit insurance can be difficult to procure or prohibitively expensive for small transaction sizes due to minimum premium requirements and fixed underwriting costs. To make insuring smaller projects more cost effective, some developers have bundled multiple smaller projects in a single tax insurance policy to benefit from economies of scale.
Typical risks covered by tax credit insurance (“Covered Tax Positions”) in a §48 credit transaction include the following:
- Eligibility of seller to claim and transfer the credit
- Placed in service date
- Bonus credit eligibility
- Compliance with prevailing wage and apprenticeship requirements
- Beginning of construction date
- Credits have not been, nor will be, subject to recapture
- Prevailing wage and apprenticeship requirements have been met
- Eligible cost basis of energy property
To the extent insurance is procured for other credits, Covered Tax Positions would include risks specific to that credit.
Tax credit insurance policies typically have standard exclusions, including:
- Inconsistent filing positions
- Settlement with tax authority without consent of the insurer
- Material misrepresentations or inaccuracies
- Prospective changes in tax law
- Amendments from or failure to comply with relevant documents
- Recapture caused by actions of the insured
Losses arising from Covered Tax Positions include additional tax, penalties, interest, tax gross up, and contests costs, up to the policy limit of liability. Given that the higher limit of liability will have a higher premium, the policy limit is a negotiated amount between the tax credit seller and buyer. The extent of covered tax provisions and exclusions are also specific to each policy.
Termination
For any TCTA that is structured with a non-simultaneous signing and close, a termination provision is often included that would provide an outside date to complete the transaction.

Section 45X Final Regulations Are Out — What Changed?
On October 24, 2024, the Department of Treasury and the Internal Revenue Service (IRS) issued final regulations for the Advanced Manufacturing Production Credit (§45X).
For Buyers
On October 24, 2024, the Department of Treasury and the Internal Revenue Service (IRS) issued final regulations for the Advanced Manufacturing Production Credit (§45X). The final regulations were published in the Federal Register on October 28, 2024 and are largely consistent with the proposed regulations issued on December 15, 2023.

Distinguishing "minor assembly"
The final regulations replace each instance of "mere assembly" with "minor assembly" to clarify what activities meet the substantial transformation threshold required to qualify for §45X tax credits.
The guidance recognizes that certain eligible components such as a solar module or a battery module are produced primarily by assembling other components. In these cases, the assembly required to achieve production of the ultimate eligible component (solar module or battery module) should not generally be viewed as disqualifying “minor assembly.”
Furthermore, eligible components that have completed substantial transformation, are considered “produced by the taxpayer,” and have been produced and sold to a third-party, in which only “minor assembly” remains, does not disqualify the original party from claiming the §45X credit. As a result, the ensuing third-party who performs the “minor assembly” would not be eligible to claim the credit.
Production costs expanded for critical minerals and electrode active materials
The final guidance is intended to recognize the value of material costs while addressing concerns regarding multiple-crediting and unintended incentives. The proposed regulations did not specifically allow direct material costs, indirect material costs, or any costs related to the extraction or acquisition of raw materials to be considered as production costs. However, the Treasury Department and the IRS, after consultation with the Department of Energy, have reconsidered the proposed exclusion of all material costs based on comments received and revised the regulations to include extraction costs for raw materials sourced in the U.S. or its territories if incurred by the taxpayer claiming the credit.
Additionally, if a taxpayer acquires extracted raw material as a direct (or indirect) material cost, the material costs may be included as production costs consistent with the rules provided under section 263A regardless of whether the extracted material is domestic or foreign-sourced.
Furthermore, any inclusion of direct and indirect material costs may be included if certain conditions are met, but only if they are not for materials that are already an eligible component at the time of purchase (e.g., applicable critical mineral or electrode active material), and as such, an additional credit cannot be claimed on costs relating to the acquisition and use of other eligible components.

Additional substantiation requirements for critical minerals and electrode active materials
In order to include direct or indirect materials costs as production costs when calculating a §45X credit for the production and sale of critical minerals or electrode active materials, a taxpayer must include certifications from each supplier, as an attachment to the tax return, and maintain specific books, records, and documentation to substantiate the credit.
The certifications must include the supplier’s employer identification number, be signed under penalties of perjury, and state that the supplier is not claiming a §45X credit for the materials purchased, nor is the supplier aware of any prior supplier claiming a §45X credit in the chain of production for the materials.
The books, records, and documentation requirements include, whether prepared by the taxpayer or (ideally) a third-party:
- An analysis of any constituent elements, materials, or subcomponents that concludes the material did not meet the definition of an eligible component (for example, an applicable critical mineral or electrode active material) at the time of acquisition by the taxpayer
- A list of all direct and indirect material costs and the amount of such costs that were included within the taxpayer’s total production cost for each applicable critical mineral
- A document related to the taxpayer’s production activities with respect to the direct and indirect material costs that establishes the materials were used in the production of the applicable critical mineral
Failure to provide this documentation with the return filing, or failure to provide an “available upon request” statement, would constitute a failure to substantiate the tax credit claim. To help ensure proper substantiation and compliance, consult the 45X Due Diligence Guide.
Definition of produced by the taxpayer
The final regulations expanded the definition of “produced by the taxpayer” to confirm that taxpayers may produce eligible components using recycled materials (secondary production). The updated definition now reads, “Primary production involves producing an eligible component using non-recycled materials while secondary production involves producing an eligible component using recycled materials.”
Clarification on §45X vs §48C facility
The final regulations simplified the definition of a §45X facility, replacing the term “production unit” with “independently functioning tangible property” that is used and necessary for the eligible component to be considered produced by the taxpayer, regardless of physical location. Accordingly, tangible property used to produce a subcomponent which is later integrated, incorporated, or assembled into a distinct and final eligible component may not be part of the section 45X facility.
This clarification allows the use of subcomponents manufactured at a separate §48C facility without tainting the ability to qualify for a §45X credit, as long as the subcomponent is not part of the determination that the taxpayer is the producer of the eligible component.
The final regulations also added a specific rule to address §48C taints in a contract manufacturing arrangement - the tangible property determination for a 45X facility would apply to either party in the transaction, regardless of which party to the contract manufacturing arrangement is claiming the credit.
Effective date
December 27, 2024
Applicability dates
As noted in § 1.45X–1(j), §1.45X–2(f), §1.45X–3(g), and §1.45X–4(d), these final regulations apply to eligible components for which production is completed and sales occur after December 31, 2022, and during taxable years ending on or after October 28, 2024.
Taxpayers may choose to apply these regulations to eligible components for which production is completed and sales occur after December 31, 2022, and during taxable years ending before October 28, 2024, provided that taxpayers follow these regulations in their entirety and in a consistent manner.
Additionally, §5.05(2) of Notice 2023–18 and §3 of Notice 2023–44, which relate to the interaction between §45X and §48C, are superseded for eligible components for which production is completed and sales occur after October 28, 2024.
Appendix 1 — Additional technology-specific changes
Clarification on tandem cells
The final regulations addressed commenters concerns regarding disparate treatment between different types of tandem cells and the resulting capacity and credit amount. The Treasury Department and IRS agreed with commentators, and to prevent potentially incentivizing the development of certain tandem technology, added additional text for cells that are either mechanically stacked or using interconnected layers: “Where that cell is sold to a customer who will use it as the bottom cell in a tandem module, its capacity should be measured with the customer’s intended top cell placed between the bottom cell and the one-sun light source.”
Definition of "polymeric backsheet"
The final regulations clarify that the definition is limited to a sheet on the back of solar modules composed, at least in part, of a polymer, that acts as an electric insulator and protects the inner components of such module from the surrounding environment. This added definition for "polymeric" excludes most glass backsheets because they are typically not composed of a polymer, but of soda-lime glass.
Solar grade polysilicon measurement standards
The final rules added that satisfaction of the minimum purity requirement will be determined in accordance with the standards provided in SEMI Specification PV17-1012 Category 1. This standard also provides additional clarification by including guidance to distinguish between material and immaterial impurities.
Determining credits from related offshore wind vessels
§1.45X-3(c)(4)(ii) was revised to include the application of Federal income tax principles to determine inclusions and exclusions for the sales price used to calculate the §45X credit for offshore wind vessels.
Additional standards allowed to certify rated capacity of completed wind turbines
The final regulations revise proposed §1.45X-3(c)(6) to add both AWEA 9.1-2009 and ANSI/ACP 101-1-2021 as acceptable wind turbine certification standards.
Clarification to DC optimized microinverter systems
§1.45X-3(d)(5)(iv)(B) requires that the inverter and DC optimizer in the DC optimized inverter system to be produced and sold as a combined end product. The Treasury Department and the IRS retained this rule while also clarifying that the inverter and the DC optimizer do not need to be physically packaged together at sale, and the inverter and DC optimizer do not need to be fully interconnected and assembled at the time of sale.
No separate credit is created solely for a DC optimizer, and no changes were made to the number of inverter units used to compute the available credit amount, as these changes are beyond the authority of the Treasury Department and IRS.
Battery cell energy density requirements refer to volumetric energy density
When determining if a battery cell has an energy density of not less than 100 watt-hours per liter, the final regulations clarify that energy density is referring to volumetric energy density in §1.45X-3(e)(3)(i)(B) (e.g., as opposed to gravimetric, mass-based, energy density).
Clarification on modules using battery cells
Many commenters expressed concerns regarding the proposed regulations which would not have permitted a credit for the production of a module that is not the end-use configuration. Other commenters acknowledged that the proposed regulations could create confusion as the definition of battery module could potentially include items that are referred to in the industry as “battery packs.”
To address this confusion, §1.45X-3(e)(4)(i)(A) of the final regulations:
- Redefine an end-use configuration as “the product that ultimately serves a specified end use combines cells into a module such that any subsequent manufacturing is done to the module rather than to the cells individually”
- Clarify that “where multiple points in a supply chain may be eligible under this section, the first module produced and sold that meets the requirements of this section and the kilowatt-hour requirement in paragraph (e)(4)(i) of this section will be the only module eligible”
Clarification on modules not using battery cells for thermal and thermochemical battery technology
Taxpayers producing thermal and thermochemical battery modules with no battery cells must convert the energy storage to a kilowatt-hour basis, provide both the methodology and testing regarding this conversion, and maintain this testing as part of its books and records.
Additionally, the kilowatt-hour conversion cannot exceed the direct conversion of the total nameplate capacity of the thermal battery module to kilowatt-hours (the capacity that is sold to the consumer), and the taxpayer claiming the §45X credit must use the same methodology consistently, subject to any updated standard of the same methodology and testing, for all battery modules (with or without cells) sold in the taxpayer’s trade or business. The final regulations incorporate these clarifications in §1.45X-3(e)(4)(ii).
Additional guidance forthcoming for aluminum
As noted in the Summary of Comments and Explanation of Revisions, a number of comments were received regarding additional clarification for the definition of aluminum, and the Treasury Department and the IRS have determined that additional consideration is necessary prior to finalizing proposed §1.45X-(b)(1) with respect to this definition.
Appendix 2 — Additional contract manufacturing and relation person election changes
Additional critical minerals use case for contract manufacturing
The final regulations also added an additional contract manufacturing example to demonstrate a way to structure and claim a tax credit on initial extracting and refining activities that do not meet the minimum purity levels required for an eligible component until the initial materials are later purchased, completed, and sold.
Anti-abuse rule measured at point of sale for Related Person Election
The final regulations added a clarification regarding defects with regard to a related person election. If an eligible component is not defective at the time of sale, defects arising after the point of sale may occur in the ordinary course of a business and do not generally raise the improper claim concerns regarding defective components.
Appendix 3 — Select items upheld in final regulations
Confirmation of the scope for domestic production and use
The final regulations adopted the proposed rules that require eligible components to be produced within the United States, whereas constituent elements, materials, and subcomponents used in the production of the eligible components are not subject to a domestic production requirement.
In addition, the eligible components do not ultimately have to be used in the United States for §45X eligibility.
Production efforts required to stack or claim additional credits for integral components that are also eligible components
The final regulations upheld the temporary regulations perspective that a taxpayer must produce (rather than merely purchase or acquire) an eligible component that it then integrates, incorporates, or assembles into another eligible component that is then sold to an unrelated person in order to claim credits on both components.
No additional credits for defective units that are subsequently replaced
A commenter proposed that eligible components that were used to replace defective units pursuant to a contractual obligation do not appear to violate proposed anti-abuse provisions. However, the final regulations confirmed the replacement of a defective unit does not represent a new sale to an unrelated person, and §45X does not incentivize the production of two eligible components related to a single sales transaction.
Rejection to expand eligible components and applicable critical minerals
Commenters requested to expand the list of eligible components and applicable critical minerals, but the Treasury Department and the IRS declined, citing the lack of statutory authority to expand the list.
Rejection of proposed safe harbor for contract manufacturing arrangements
The Treasury Department and the IRS declined a commenter’s request to establish a safe harbor for contract manufacturing agreements in place before the applicability date of the proposed regulations.
However, a taxpayer may still elect to apply the special rule (§1.45X-1(c)(3)(iii)), which allows the parties of a contract manufacturing arrangement to agree on which party to the contract will claim the credit.

Clean Energy Tax Credit Trends: Insights For Buyers & Sellers
Explore the surge in clean energy tax credit pricing in 2024, ITC & PTC trends, and how corporate buyers can secure better 2025 deals by planning early.
For Buyers
Transferable tax credit pricing has increased in the latter half of 2024, particularly for large, "clean" ITCs
The increase in pricing reflects a seasonal supply-demand imbalance caused by the following:
- Corporate taxpayers have a firm and clear estimate of their 2024 tax liability, and many new tax credit buyers have stepped into the market. They are now scrambling to find credits to offset that liability
- The supply of 2024 credits, particularly large credit volumes, have dwindled given the amount of transaction activity throughout the year
We expect pricing for 2024 credits to remain inflated through the end of the year and into 2025. This intra year supply-demand imbalance was also observed in 2023.
While pricing has increased across all credit types, the most marked increase has been with large, straightforward ITC projects. For most of the year, these opportunities traded in the $0.92 to $0.93 range, but as of Q3 we are seeing buyers bid $0.94 or even $0.95. The spread between ITCs and production credits (§45 PTCs and §45X AMPCs) has narrowed considerably.
Sellers have started marketing high quality 2025 tax credit opportunities and are actively seeking buyer commitments. We believe that buyers that are willing to shop now for 2025 credits will be able to access a wide range of credit opportunities, with less competition.

We have also observed sellers running competitive RFP processes, and are receiving multiple bids – in some cases, upwards of ten qualified bids. Examples of projects that have received multiple bids with high valuations:
- $130M solar ITC from an investment grade seller, exempt from prevailing wage requirements
- $150M solar and storage ITC from a reputable seller with a very strong balance sheet. No step-up in cost basis and exempt from PWA requirements
Corporate buyers should develop their 2025 tax credit acquisition strategy now to avoid the late-year credit frenzy
Reunion is seeing an increasing number of high quality sellers marketing their 2025 projects now and placing tight deadlines on accepting bids. Even though pricing may not be optimal due to a lower number of buyers ready to look at 2025 credits, these sellers want to put a tax credit purchase agreement in place so they can obtain a bridge loan against their tax credit commitments.
Buyers who are able to commit to 2025 credits now will get access to a wider selection of project opportunities, and potentially better pricing, as only a subset of buyers have enough visibility into 2025 tax liabilities to be able to commit early. They’ll also avoid “chasing credits” in the latter-half of 2025.
Buyers who are able to execute tax credit transfer agreements now have a significant advantage
For buyers with uncertainty around their tax liability, one option is to initially target a purchase volume that is significantly lower (e.g., 50%) than projected tax liability. The buyer can purchase additional tranches of credits later in 2025 as their tax position becomes more clear. (We previously discussed the strategy of topping up on credits.) Purchasing tranches of credits to “top up” also carry the benefit of less competition for smaller credits, resulting in potentially better pricing.
Buyers who are willing to go slightly out of pocket will also be in an advantageous position
A majority of corporate tax credit buyers do not want to go “out of pocket” to acquire clean energy tax credits, preferring to align tax credit purchases with their quarterly estimated tax payments. Typically, the internal approval process for a cost savings effort (e.g., paying a clean energy developer $95M in lieu of paying $100M to the IRS, at approximately the same time) is easier than requesting an out-of-pocket investment to buy credits that generate tax savings in the future.
Buyers who are willing to go slightly “out of pocket” — for example, willingness to pay for an ITC in Q1, Q2, or even Q3 — will enjoy a less competition, and a larger discount to compensate for timing of payment. These out-of-pocket investments can present attractive economics to buyers, with IRRs over 20%.
We can see this in a sample $100M ITC purchase from a project that will be placed in service in Q1 2024. Let’s assume a buyer and seller execute a tax credit transfer agreement in Q4 2024 (11/15/2024) for a utility-scale solar project that is expected to be placed in service in Q1 2024 (3/15/2024). If the buyer agrees to pay for the credits as soon as the project is placed in service, they could reasonably expect to pay $0.93, as they will essentially be “pre-paying” their taxes in Q1 and will get the benefit of the tax offset during their quarterly estimated tax payment dates.

Even though the buyer goes out of pocket in this scenario, the investment generates an attractive 20.3% IRR and $7.0M tax savings.
Consider smaller projects for better economics
Buyers and sellers want as few counterparties as possible. If a buyer has a $160M tax credit appetite, they want to find one project as close to a $160M as possible.
Focusing on a single, large transaction, however, can present challenging economics because as we noted, there are many large taxpayers that all want to find a large, straightforward transaction.
Simply moving from a single transaction of $100M to three transactions of $30M can meaningfully improve deal economics without necessarily adding undue risk or complexity. Through Q3 2024, for example, smaller 45X AMPCs deals priced approximately a cent below larger 45X AMPCs deals.
Set expectations with internal stakeholders on pricing dynamics for 2024 credits
Companies looking to pursue sizable 2024 ITC opportunities should expect credits to trade at a premium. Buyers should set expectations to bid $0.94, $0.95, or even slightly higher to win the most coveted opportunities.
Additional 2024 credit opportunities will arise as the year draws to a close, and we also predict that additional opportunities will arise shortly after January 1. What we observed last year is that a number of tax credit sellers were not sure if their ITCs would be placed in service in the current year or the subsequent year, so they waited until they had certainty on the tax credit year (i.e., after January 1) to market their credits. That said, we predict that a large number of tax credit buyers will continue to compete over these 2024 credits, particularly for larger opportunities.
Companies should start evaluating 2025 clean energy tax credit investments now
Corporations who are comfortable with their 2025 tax liability and are willing to go a bit out of pocket should begin shifting their attention to 2025. Q4 2024 is a good time to lock in some of the most attractive 2025 deals, particularly for larger ITC, PTC, and AMPC opportunities.

What Is Tax Credit Market, Its Size & How It works
Explore the projected $45B-$50B growth of the transferable tax credit market size, with monetization strategies like transferability, tax equity & direct pay.

Executive summary
Over the past 12 months, the rate of growth in the transferable tax credit market has continually surprised industry observers and participants.
Reunion has analyzed how large the transferable tax credit market could be on an annual basis, as well as the size of various monetization strategies – tax equity, direct pay, retention, and transfer.
We estimate that the total size of the transferable tax credit market in 2024 will range from $45B to $50B, which will be broken into four key monetization strategies:
- Transfer: $21B to $24B
- Tax equity: $21B to $23B
- Retain: $1.8B to $2.4B
- Direct pay: $0.8B to $1.0B

Over a nine-year period, Reunion estimates the total volume of clean energy tax credits to steadily climb, surpassing $90B in 2030.
Of the annual total, we expect approximately 50% to 60% to be monetized through transferability.

We ran our estimate through 2032 for two reasons. Under the §45X credit, manufactured components are subject to a four-year phase-down beginning in 2030 (75%, 50%, 25%, 0%). Therefore, manufactured components will no longer be eligible for the §45X after 2032. Also, 2032 is the first potential "applicable year" for the four-year phase-out of the §45Y PTC and §48E ITC.

Total Transfer Market: $45B - $50B
How many clean energy tax credits will be eligible for transfer in 2024?
To estimate the total size of the market for transferable tax credits in 2024, we reviewed several existing estimates by industry observers:
- Congressional Budget Office
- Credit Suisse
- Evercore ISI
- Goldman Sachs
- University of Pennsylvania, Penn Wharton Budget Model
Our analysis identified two key trends:
- A significant increase in estimates following the passage of the IRA: Before August 2022, estimates of the volume of tax credits that would be generated following the passage of the IRA were clustered below $20B. After the IRA became law, estimates markedly increased
- Clustering between $45B and $50B: More recent estimates have fallen between $45B and $50B
$19B | University of Pennsylvania, Penn Wharton Budget Model (July 2022)
Shortly before the passage of the IRA, the University of Pennsylvania's Penn Wharton Budget Model (PWBM) provided a preliminary estimate of the budgetary effects of the legislation from 2022 through 2031.
The report pegged the ten-year cost of the IRA's "climate and energy" provisions at $369B and the 2024 cost at $35.7B. Importantly, PWBM's climate and energy bucket includes several sets of provisions:
- Tax rebates and credits to lower energy costs for households
- Tax credits, research, loans, and grants to increase domestic manufacturing capacity for wind turbines, solar panels, batteries, and other essential components of clean energy production and storage
- Tax credits to reduce carbon emissions
- Programs to reduce the environmental impact of agriculture
- A new fee on methane emissions
To isolate transferable tax credits, we can pull percentages for the various climate and energy provisions from an updated PWBM analysis (which we'll discuss in further detail):

The resulting cost of transferable tax credits for 2024, then, is 54% of $35.7B, or $19.2B. If we apply the same percentage to the ten-year window, we arrive at a total cost of $198.3B for transferable tax credits.

$11B | Congressional Budget Office (August 2022)
In an August 2022 report, the Congressional Budget Office (CBO) estimated the annualized budgetary effects of the Inflation Reduction Act (IRA) from 2022 to 2031. The report covers the entirety of the IRA, although transferable tax credits are broken out by their IRA section. IRA section 13101, for example, extends the §45 PTC.
The CBO estimates the ten-year budgetary impacts of transferable tax credits at $209.8B, $10.5B of which is in 2024.

$20B | University of Pennsylvania, Penn Wharton Budget Model (August 2022)
Once the Senate had passed the IRA, PWBM updated their July 2022 estimated budgetary effects of the IRA. The analysis, from August 2022, resulted in a slight uptick in cost across the board.
To estimate the size of the transferable tax credit market, we have to again scale the "climate and energy" provisions by 54%. The result is $20.0B for 2024 and $206.8B for 2022 through 2031.

$49B | Credit Suisse (November 2022)
Credit Suisse produced one of several analyses that argued initial estimates of the size of the IRA were low – perhaps as much as 3x too low:
"Climate spending will likely be significantly higher than the headline estimate. Roughly two-thirds of the baseline spending is allocated to provisions where the potential federal credit/incentive is uncapped. Our assessment of potential demand for clean electricity production tax credits (PTC) and investment tax credits (ITC), carbon capture, clean hydrogen, and renewable/battery manufacturing credits shows federal spending could reach >3x the cost estimates assigned for these key provisions. The advanced manufacturing provision alone could cost US$250 billion given the credits across solar, wind, and battery supply chains."
Credit Suisse estimated the ten-year cost of transferable tax credits at $528B and the 2024 cost at $49B.

Wood Mackenzie similarly argued that the long-term cost of the IRA would greatly surpass initial estimates. However, Wood Mackenzie focused their analysis on ITCs and PTCs from solar, wind, and storage, so we omitted it from our review.

$33B | Goldman Sachs (March 2023)
Goldman Sachs published an in-depth analysis of the costs and benefits of the IRA and, like Credit Suisse, concluded that early estimates were drastically low. Goldman Sachs estimated the IRA will cost the U.S. government $1.2T by 2032, with some incentives continuing into 2040.
To arrive at an estimate for the 2024 tax credit market, we should remove EVs and buildings from Goldman's estimate because these credits apply largely to individuals and will not be transferred. In exhibit 18, Goldman Sachs estimates that EV- and biofuel-related IRA programs will cost the U.S. government $393B and $43B, respectively.
If we apply this ratio – 90.1% EVs, 9.9% biofuels – to the combined 2024 estimate for “EVs and biofuels,” we remove approximately $9B of cost from 2024, resulting in an annual total of approximately $35B. Buildings further reduce this estimate by approximately $2B, resulting in an 2024 cost of approximately $33B.

Although Goldman Sachs did not publish a year-by-year estimate for transferable tax credits, they assembled a chart of annual IRA spending:

$48B | University of Pennsylvania, Penn Wharton Budget Model (April 2023)
Shortly after the Goldman Sachs report, PWBM released a third estimate of the budgetary effects of the IRA. Importantly, GWBM relied heavily on the Goldman Sachs report: "In preparing these updated estimates, PWBM consulted with private sector experts to understand the likely growth in utilization by climate and energy provision. We are especially grateful to the energy team at Goldman Sachs who helped break down each area and further aided our efforts to produce a budget score against the pre-IRA baseline."
PWBM estimated the total cost of the IRA's energy and climate provisions from 2023 through 2032 – a new ten-year window – at $1.0B. If we isolate transferable tax credits, we arrive at a total of $561B.

We can allocate the $561B total over the ten-year window, assuming a similar annual allocation percentage from PWBM's earlier estimates. Under this assumption, we get $48.3B for 2024.

$47B | Evercore ISI (April 2024)
“Drawing on projections from the U.S. Treasury,” Evercore ISI estimated that the “total addressable market of potentially transferable energy tax credits is $47 billion in 2024.” Evercore notes that “not all these credits will ultimately be transferred” – a key detail we'll explore below.

Viewing the estimates through time
When viewed through time, the eight estimates we've examined exhibit two trends:
- A significant increase in estimates following the passage of the IRA: Before August 2022, estimates of the volume of tax credits that would be generated following the passage of the IRA were clustered below $20B. After the IRA became law, estimates markedly increased
- Clustering between $45B and $50B: More recent estimates have tended to fall in the high $40B range

Tax Equity: $21B - $23B
How many clean energy tax credits that are eligible for transferability will be monetized through traditional tax equity in 2024?
With the passage of the IRA, clean energy tax credits can be monetized through transferability, traditional tax equity, or "hybrid" structures involving some mix of both. To properly size the transferability market, then, we need to remove "pure play" tax equity.
Although precise tax equity transaction volumes are not publicly available, Norton Rose Fulbright provides reliable snapshots in their annual cost of capital webinar. In the 2024 cost of capital webinar, for example, Jack Cargas of Bank of America and Rubiao Song of JPMorgan estimated the 2023 tax equity market at $20B to $22B:
- Jack Cargas, Bank of America: "We estimate that the volume was $20 to $21 billion [in 2023], roughly in the same ballpark as the year before."
- Rubiao Song, JPMorgan: "We saw a slight uptick in tax equity volume in 2023 compared to 2022. We put the traditional tax equity at $21 to $22 billion in 2023."
We can create a ten-year series by reviewing the transcripts from prior years – 2023, 2022, 2021, etc.

When estimating 2024 tax equity volumes, Rubiao Song said, "If the economy remains strong, we could see tax equity volume growing by single-to-low double digits."
Despite uncertainty around the potential impacts of Basel III requirements on tax equity investments, Reunion estimates that $21B to $23B of tax credits will be monetized through traditional tax equity in 2024.
Importantly, the amount of tax equity investment is not directly representative of tax credit generation, as some amount of investment is associated with benefits of depreciation and the rights to future project cash flows. However, for purposes of this simplified analysis, we have ignored this distinction and will address it in future discussions.
Direct Pay: $0.8B - $1.0B
How many clean energy tax credits that are eligible for transferability will be monetized through direct pay in 2024?
Of the approximately $47B in 2024 tax credits that are eligible for transfer, some will be monetized through direct pay. As Evercore notes in their report, "For a subset of credits" – 45X, 45Q, and 45V – "companies may take advantage of a time-limited provision through which they can receive the credit as a direct payment from the [IRS] after filing their tax returns."
Evercore goes on to emphasize that, "Figures on project registrations released by the U.S. Treasury suggest that even in cases where the seller would have the option for 'direct pay' after filing tax returns, the vast majority are still opting for transfer."
As the Treasury stated, "More than 98% of...facilities or projects are pursuing transferability."
Based on Reunion's 2024 transactions data, which covers nearly $5B in verified transactions, Reunion estimates $0.8B to $1.0B in 2024 tax credits will be monetized through direct pay in 2024. (We can perform a simple check on our estimate by scaling our $47B total market value by 98%, which results in $0.94B.)

How many clean energy tax credits that are eligible for transferability will be monetized directly by the developer, manufacturer, or refiner in 2024?
Based on SEC filings from large, publicly traded utilities, Reunion estimates that 4% to 5% of 2024 tax credits will be retained by developers, manufacturers, and refiners to offset their own tax liability. They will not, in other words, transfer all of their IRA tax credits.
In their 2023 10-K, for example, Duke Energy states, "...due to its existing tax attributes and projected tax credits to be generated related to the IRA, Duke Energy does not expect to be a significant federal cash taxpayer until around 2030."
Reunion's estimates that $1.8B to $2.4B of clean energy tax credits will be retained by their originator.
Transfer: $21B - $24B
How many clean energy tax credits will ultimately be transferred in 2024?
In the simplest sense, tax credit transfers become the "plug" in our equation: [total tax credit market] = [tax equity] + [direct pay] + [retention] + [transfer].
Recognizing that we have provided estimated ranges for each value, we can create a "high" and "low" case resulting in an estimated transfer market range of $21B to $24B.

"Stranded" Credits
How many clean energy tax credits will fail to be monetized, irrespective of strategy?
Although we've focused our anaylsis on accretive monetization strategies, it's worth noting the existence of a fifth bucket: "stranded" credits. These are credits that are generated but, for whatever reason, not monetized through tax equity, transferability, direct pay, or retention.
Reunion has seen stranded credits first-hand with smaller developers who were unable to successfully transfer 2023 credits with values in the low hundreds of thousands. We also assume some stranded credits will emerge from developers in financial distress.
We believe stranded credits constitute a de minimis and hard-to-estimate segment of the transferability market and have excluded them from our analysis.
Looking Ahead
How many clean energy tax credits will be eligible for transfer through the early 2030s? Of these, how many will be transferred?
We expect the overall tax credit market to grow by an average of 10% to 15% per year, peaking in 2030. The highest percentage of this growth will occur in transferability (versus other monetization strategies). We estimate that the total tax credit market will approach $700B through 2032, over $350B of which will be monetized through transferability.
We ran our estimate through 2032 for two reasons. Under the §45X credit, manufactured components are subject to a four-year phase-down beginning in 2030 (75%, 50%, 25%, 0%). Therefore, manufactured components will no longer be eligible for the §45X after 2032. Also, 2032 is the first potential "applicable year" for the four-year phase-out of the §45Y PTC and §48E ITC.

Executive summary
Transferable tax credits are sold at a discount to face value, providing attractive financial benefits to corporate investors. They are not without risk, however, and tax credit buyers should have a clear sense of how to identify, track, and mitigate relevant risks.
At the same time, clean energy developers should understand the scope of due diligence during a tax credit transfer.

Transaction overview
The transaction overview should include an overall description of the transaction, including:
- Brief description of sponsor
- Technology
- Project size in MW AC, location, and description
- Placed in service (PIS) date
- Eligible cost basis
- Resulting ITC credit amount
- Description of tax credit percentage, including bonus credit adders and compliance with, or exemption from, prevailing wage and apprenticeship requirements
- Details on how the project is financed
Major deal participants
Tax credit transfers involve a range of stakeholders on the buy- and sell-sides, all of whom should be memorialized for reference during the five-year recapture period.
Seller diligence
Qualification
Buyer should validate that the Project qualifies for the Section 48 ITC. Buyer should ensure that the Project qualifies as energy property, the proper cost basis is used, and that the Project was placed in service in the appropriate tax year.
Structure
Buyer should validate that Seller is an eligible transferor, and that the Seller’s underlying legal structure will be respected by the IRS.
Recapture
To avoid recapture, a Section 48 ITC requires that (1) the property remains qualified energy property for five years and (2) there is no change in ownership of the property for five years. If a project fails to meet these requirements, the IRS will recapture the unvested portion of the ITC.
The ITC vests equally over a five-year period, meaning 20% of the total ITCs claimed will vest on each anniversary of Project’s placed in service date.
Qualified energy facility
A property can cease to be qualified energy property when an asset is disposed of, or otherwise ceases to be investment credit property to the eligible taxpayer during the recapture period. For example, the asset is:
- Destroyed and not rebuilt and placed back in service
- Abandoned
- Repurposed to sell something other than electricity derived from the qualified generation asset
Key risk mitigation measures include sufficient property and casualty insurance, adequate site control and interconnection rights, and identification of alternatives in the event of an Offtaker default.
Change in ownership
A change in ownership can occur if the project owner transfers its ownership of the facility during the five-year recapture period. If a lender has a collateral interest in the project company, a foreclosure can trigger recapture due to change in ownership.
Key risk mitigation measures include a forbearance agreement with lenders, structuring the debt in a way that foreclosure will not trigger a recapture, and indemnification from the seller.
Prevailing wage and apprenticeship requirements
Buyer should validate that the Project is exempt from, or compliant with, prevailing wage and apprenticeship requirements. Prevailing wage rules require that certain workers are paid a minimum prevailing wages specified by the U.S. Department of Labor during the construction of a facility or property, and during alteration or repair of a facility or property for a certain number of years after the project is placed in service.
Buyers should require proper documentation that the correct wage was paid.
